Terms of service (TOS) for SpeakersLoft.com

Please read these Terms of Service (“TOS”, “Terms”) before using SpeakersLoft.com or any associated domain (The “service”).

Your access to and use of the Service is conditioned on your acceptance and compliance with these Terms. These terms apply to all former or present users and others who use The Service, regardless of membership type, price, duration or other variables.

By using or accessing the Service you (The “User”, “Customer”) agree to be bound by these terms. Should you disagree or find yourself unable to comply with any part of The Terms, you may not use The Service and agree to terminate membership immediately.

By using or accessing The Service you furthermore accept the processing of personal information necessary for us to provide the service. For more information on what data we process and to what end, please refer to our Privacy Policy.

Explanation: We can’t deliver our service without processing information. Almost no business can. But we do make an effort to be respectful about your data. Reach out at any time if you have questions.

SpeakersLoft.com has the right to, at any point in time and without warning, cancel your subscription and remove your access to the Service should you default on the terms laid out in this document.

Explanation: We need the service to be a nice place for all members. To ensure this, we’ve laid out these terms for your, and for our protection. Without them, our relationship would be a no-mans land and that pretty much never works for anyone.

  1. General regulations
    1. The Service is available for any natural person(s) over the age of 18, or anyone otherwise authorized to agree to the Terms in a legally binding fashion.

    2. Subscription to the Service is personal and may not be transferred to any other person natural or otherwise.

    3. To use the Service you must have an internet-connected device. This is not provided by the Service. The Service has the right to change the technical requirements for usage of the Service at any time, without warning.

    4. The Service enables communication between individuals. Under no circumstance can SpeakersLoft.com be held responsible for any utterances made by any Customer within the service. Any and all rapports of indecent, racist or otherwise inappropriate behaviour will be investigated and relevant steps taken to ensure that this will not continue.

    5. SpeakersLoft.com has the right to terminate any account and ban any User who does not contribute to a good experience for all Customers.

Explanation: None of these should be surprising. It means that we can exclude customers who are spoiling the fun for everyone else. These paragraphs allow us to remove users who are not working towards the good of the community, but not allow users that ‘rub us the wrong way’. Again, the terms are to protect users as well as platform owners.

  1. The Service
    1. The Service is a community for natural persons working primarily within the domain of public speaking. The Service is provided on a subscription basis, and made available online.

    2. The content of the Service is to some extent delivered between members and may as such vary between regions.

    3. The Service may at its own discretion use third party services to provide parts of the Service. In this case, the user must read and accept the Terms provided by the third party service. SpeakersLoft.com assumes no responsibility for any provisions set forth in the TOS or any other place by any third party.

Explanation: This is, in very broad strokes what you are paying for. We’ve left enough room here to keep creating and shaping The Service together.

As for third party services: we may use companies like Slack or Facebook to provide groups or channels for communication. If one of our users partake in this, they are themselves responsible for accepting the terms Facebook or Slack impose on this user. 

We know some people don’t like to use Facebook (or other services), and we want to respect this. We cannot, nor would we want to, be part of any agreement between you and a third party.

  1. Promotions
    1. SpeakersLoft.com may at its sole discretion apply promotions to grow the member base. 

    2. Such promotions may be limited to one usage per person (natural or otherwise).

    3. In no circumstances is the Service required to offer promotions to customers that are already signed up to the service.

    4. In cases where Users signup to the Service as part of a promotion they will automatically continue on a paid subscription as the promotion expires. Users may at any time during the promotion period cancel their account, in which case no payment shall be made to the Service at the end of the promotional period.

    5. Any User trying to circumvent the promotional structure and bypass the regulations laid out in this TOS, shall be considered as defaulting on the TOS.

    6. Promotions can not be combined.

Explanation: We may do some marketing. This means people may end up paying different monthly fees for membership. While this is normal, it can come across as unfair. We don’t think it is.

  1. Payment
    1. The Service makes use of third party payment services to handle transactions. For information relating to handling data in this regard, please refer to our Privacy policy.

    2. Users will pay monthly in advance, until they cancel their subscription. Upon cancellation users will have access to the service until next payment should have been made.

    3. SpeakersLoft.com may cancel the account of any Customer that defaults on their payment.

    4. Prices are at all times available on SpeakersLoft.com and do not include any fees users may experience from other service providers enabling the Customer to access the service. I.G. Internet service providers.

Explanation: This is a subscription service, and recurring payments will be made. These can be set up in a myriad of ways, but this paragraph governs how we’ve set up ours.

  1. Duration & Cancellation
    1. In accordance with Danish law all Customers have the right to cancel their subscription within 14 days of signup. Should you wish to exercise this right, we recommend that you contact us using the below contact information.

    2. Should an error occur where you are erroneously charged, we will make every effort to return the sum in question within thirty (30) days.

    3. Any subscription will continue running until it is cancelled by either the Customer or Service. The provisions of this TOS will remain in effect for the duration of the subscription.

    4. When a User cancels a subscription to the Service some data may be kept by SpeakersLoft.com in order to comply with legal requirements.

    5. A User must visit SpeakersLoft.com to cancel their subscription.

  1. Immaterial rights
    1. The Service is exclusively for personal use, and all logos, visual elements are the property of SpeakersLoft.com. They may not be used for commercial purposes without written permission from a legal representative of SpeakersLoft.com.

    2. A subscription to SpeakersLoft.com will never give the right to reproduce, sell or modify and content owned by SpeakersLoft.com

    3. As a Customer of the Service you may become acquainted with strategies, logos, concepts and other immaterial property of other Customers. In no case may this be used for commercial or non-commerical purposes without express written consent from the appropriate rightsholder.

    4. SpeakersLoft.com holds no responsibility for misuse of material that Customers have shared on the Service and will not indemnify and users for losses applied by other Customers in the Service.

  1. Licenses
    1. A subscription to the Service does not entitle Customers to use any software used by The Service for any other means than through use of the service.

  1. Third parties
    1. They service may provide links, endorsements and other elements generated by other Customers. These may link to third party websites. Under no circumstances can SpeakersLoft be held responsible for any damage or loss that occurs in relation to following these links or making use of these elements.

Explanation: We can’t review everything people upload. And while we try to keep the community healthy by kicking offenders off of the service, do keep your wits around you as you would anywhere else.

    1. Any third party officially used by SpeakersLoft may have their own Terms of Use. It is the sole responsibility of the User to review and decide whether to accept these. Not accepting third party Terms may cause limited functionality to the Service.

    2. Access to SpeakersLoft may incur fees from your service provider. SpeakersLoft cannot be held accountable for any such charges.

  1. SpeakersLoft.com’s rights and obligations
    1. The Service reserves the right to change and the Terms. All substantial changes, however, must be communicated to user no less than 30 days before the change is implemented.

    2. The Service may contact Customers for promotional purposes only when explicit content to such use is given.

    3. SpeakersLoft is always available. Downtime may however occur and shall not be considered as a breach of the Terms. If the Service is unavailable for a prolonged period of time, the Service may opt to contact users to clarify the situation.

    4. All communication from the Service to Customers must be in compliance with the Privacy Policy of the Service.

    5. The service cannot be held responsible for any service outages due to local issues and/or outages of local service providers.

    6. The Service may at its discretion hire subcontractors. These must however always be in compliance with the privacy policy where applicable.

    7. The service is not limited to any specific geographic location, and members are welcomed from everywhere. However the SpeakersLoft.com assumes no obligations to provide customers support or the Service itself in any other language than English.

Explanation: We’d love to, but it is just not humanly possible at this point.

    1. The Service is under no obligation to provide technical support for devices used to access SpeakersLoft.

  1. Customers rights and obligations
    1. As a Customer of SpeakersLoft you accept that you are not, under any circumstances allowed to disrupt, transform or copy any part of the Service or systems thereof for any purpose.

    2. As a Customer of SpeakersLoft you accept that you are bound by these terms and conditions.

    3. Users may not share material that are illegal, hateful or material, links or any other element that can compromise the safety of other Customers or other legal entities.

    4. The User accepts that any account is for personal use and cannot be transferred to another individual.

    5. The User must at all times provide accurate information to SpeakersLoft.

    6. The User may at any time request a full and complete removal of all data the Service is no required by law to keep. Please refer to our Privacy Policy for all information regarding your personal information.

    7. Customers may contribute to SpeakersLoft with their own content. If any Customer finds their Intellectual property being violated by other Users of Speakersloft, they shall immediately and without unnecessary delay inform SpeakersLoft.com, which reserves the right to investigate and act at its discretion to protect users, systems and intellectual property.

Explanation: Do tell us if something smells fishy, we can’t and won’t survey everything our users do, so we rely on you to tell us. This is the alternative to mass surveillance.

  1. Disputes

    1. The Service is incorporated under the laws of Denmark and its courts. Any disputes must be attempted resolved between the parties or alternatively via the EU system for out-of-courts solution: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooseLanguage 

    2.  Failing this you may try the matter before the courts of Denmark.

    3. These Terms will not supersede any mandatory consumer protection laws in the Customers country of residence if these deviate from the above Terms.

  1. Miscellanous

    2. In the case of discrepancies between our Terms and the Privacy Policy, the latter shall have legal precedence.

    3. If any of the clauses in the Terms are found to be unenforceable or void, this does not render any other clause in these terms void.

    4. Failure by SpeakersLoft.com to enforce any terms shall not render these terms void in any future situations, where similar terms may find use.
